The practice of the functioning of business societies has revealed the imperfection of the legal regulation of their activities, and the abuses of members of the governing bodies of companies have repeatedly attracted the attention of researchers and the legislator. The management bodies of the company play a serious role, since it is through them that the legal entity acquires rights and assumes duties; through decisions made by such bodies, legal relations arise, change and end, the subject of which is society itself. There are frequent cases of losses for the company due to unscrupulous, and often simply unlawful actions of its executive bodies entrusted with ensuring the most effective participation of the company in business activities. |
