Legal entities can be subject of many kinds of liability: civil, financial, administrative, penal. This work is dedicated to liability for administrative offences and criminal liability. The Penal Code provides for the liability of legal entities, and the liability of officials at an organization. The liability is born by a manager and other employees fulfilling managerial functions in entrepreneurial structures who have committed administrative offences due to performance of organization and managerial or administrative and economic duties. On legal entities, the following punishments can be applied: fine, interdiction of the right to exercise a certain activity, liquidation of the legal entity. Each these sanctions can have an effect of ricochet analyzed below. We also propose to introduce in Penal Code probation like sanction or like kind of individualization of punishment’s execution.
