The contract law is inherent to any type of contract, whether domestic or international contract, because it can only validate and enable the contract to produce legal effects. For international trade contract there is no law that can be applied automatically in international trade law, the establishment of the law that rules the contract returns to parts or, to the court. In the absence of choice, when the applicable law cannot be settled either by situating the contract in one of the specified types by the legislation, or as law of the country where the party who is to effectuate the characteristic performance of the contract has his habitual residence, the contract should be applied the law of the country which is most closely connected. To determine this law, it should be taken into consideration, inter alia, whether the contract in question is closely related to another contract or other contracts. |
