Rezumat

Настоящая статья посвящена анализу механизма расторжения договора в двух основных правовых системах (в континентальном и англо-саксонском праве), а также наиболее важных инструментах унификации международного коммерческого права: Венская Конвенция о договорах международной куплпродажи товаров от 11 апреля 1980 года, Принципы УНИДРУА о международных коммерческих договорах и Принципы Европейского договорного права, разработанные Европейской Комиссией по европейскому договорному праву. Существуют два основных подхода к разрешению этой проблемы. В некоторых правовых системах (например, французское право) для расторжения договора необходимо решение суда. Судебная инстанция, рассматривающая иск о расторжении, может предпринять одно из следующих действий: удовлетворить иск, отклонить иск либо предоставить ответчику допол- нительный срок для исполнения обязательства. В других правовых системах расторжение договора может происходить без судебного решения, путём простой декларации потерпевшей стороны.

This article analyzes the mechanism of contract cancellation in two major legal systems (in continental and the Anglo-Saxon law), as well as the most important tools of the unification of international commercial law: the Vienna Convention on Contracts for the International Sale of Goods dated 11 April 1980, the UNIDROIT Principles of International Commercial Contracts and the Principles of European Contract Law, developed by the European Commission on European Contract Law. There are two basic approaches to solving this problem. Some legal systems (e. g. French system) require a judgment for cancellation of the contract. The judicial instance considering the claim about cancellation, can undertake one of following actions: to satisfy the claim, to reject the claim or to give to the respondent additional time for obligation execution. In other legal systems contract cancellation could be occurred without a court decision, by simple declaration of the aggrieved party.
