The Joint Stock Company is a commercial association whose share capital is divided into shares and whose obligations are guaranteed by the company’s patrimony. The share capital of the Joint Stock Company, is formed by placing the shares between the shareholders, and represents the value of the financial and in kind contributions, paid in proportion to the number and value of the subscribed shares. The share is the monetary expression of the value of the assets, which the founders of the joint stock company contribute with to the foundation of the company, to be used in the activity and achieve the aim pursued by the company. The share capital, also called nominal capital. The types of contributions to the share capital of the joint stock company are established by law, by the company contract or by decision on the additional shares issue. According to Moldovan legislation, the share capital of Joint Stock Company cannot be less than 20000 MDL. The share capital of the Joint Stock Company may be modified by increasing or reducing it, according to the Law on Joint Stock Companies, the capital market legislation and the company statute. The changes made in the share capital, as well as the changes made of the share classes, of the number and the nominal value of the shares placed, are reflected in the statute of the company and recorded in the way provided by the legislation of the Republic of Moldova |
